­NF Touch Membership Programme Terms and Conditions

NF Touch Membership Programme (“NF Touch”) is managed and operated by Nan Fung Loyalty Program Limited and is governed by the terms and conditions set out herein, as updated from time to time (“NF Touch Terms and Conditions”).­­

By submitting a membership registration application or otherwise becoming a Member of NF Touch, the applicant/Member acknowledges that he/she has read, understood and agreed to accept and shall be bound by these NF Touch Terms and Conditions.

  1. Definitions
    1. “Activity(ies)” means the activities from time to time designated by Nan Fung for collecting NF Seed(s), which can be tracked by the Members using their own Permitted Tracking Device. Please refer to the “NF Seed” section in NF Touch App for details. Nan Fung may vary and/or update the list of Activities at any time without prior notice.
    2. “Affiliate(s)” means the employees, representative, affiliates, business partners, contractors and/or agents of Nan Fung.
    3. “Designated Device” means an Apple device operating on iOS version 13 or above or an Android device operating on Android OS version 10 or above with fingerprint authentication or facial map authentication available and activated.
    4. “Eligible Transaction” means a transaction between a Member and a Participating Merchant at an NF Mall or between a Member and an NF Impact Partner (including a transaction conducted within 14 days prior to a person successfully becoming a Member) which:
      1. is paid by one of the following specified electronic payment methods:
        Visa, MasterCard, UnionPay, JCB, AE, Diners, EPS, Octopus, Payme, Apple Pay, Google Pay, Samsung Pay, FPS, UnionPay Quick Pass, TNG, Tap&Go, AliPay, WeChatPay, Jetco Pay or other electronic payment methods as Nan Fung may from time to time designate. The above specified electronic payment methods are subject to change without prior notice; and
      2. the minimum Net Spending Amount for each transaction is HK$100, but excludes the following amounts/transactions:-
        1. such amount in a transaction paid by coupons, cake cards (including Chinese bridal cake cards) and wedding coupons / vouchers, stored-value cards, certificates, vouchers, cash dollars or similar items;
        2. such spending amount in a transaction that are deducted through discounts, discount codes, promotional codes and the like;
        3. transactions paid by cash;
        4. transactions paid on a third party mobile application, including online transactions and/or orders from a merchant’s website or mobile app (except online transactions and/or orders on an NF Impact Partner’s website or mobile app);
        5. charity donations;
        6. payment of parking fees;
        7. payment of tuition fees;
        8. deposit or partial payments for goods and services without a corresponding pair of sale receipt and electronic payment slip issued within 14 days of each other;
        9. receipts for wedding banquet(s), private/commercial banquet(s) and the like;
        10. payment of tips;
        11. payment of insurance premium;
        12. purchase of event/exhibition/show tickets (except such tickets purchased via NF Touch App and NF Touch’s designated event ticketing website);
        13. purchase of any kinds of membership(s), pre-paid items, cash vouchers, gift cards, coupons, stored value cards, pre-paid cards or similar items, save and except that the following are specifically accepted:-
  1. prepayments for pet grooming services;
  2. purchase of designated festive food coupons (only limited to mooncake (including ice cream mooncake), Chinese New Year pudding, rice dumpling and Chinese preserved sausage vouchers); and
  3. payments to NF Impact Partners* for purchase of or package payment for their goods, products or services provided that the relevant NF Impact Partner’s receipt(s) states that the payment is non-refundable and sets out a clear validity period (e.g. 12 classes before [date]);

*Note: NF Impact Partners do not include merchants at NF Malls. Please refer to the definition of “NF Impact Partner” and the list of NF Impact Partners set out in the NF Touch App / WeChat Mini Program.

        1. purchase for gold pellets, grains, bars or deposits for the gold saving club;
        2. adding value to Octopus cards, stored value cards or pre-paid cards or similar items;
        3. payment of bills (including but not limited to payment of telecommunication or utility bills);
        4. transactions conducted through a third party mobile application (app) for food and beverage takeaway services (e.g. Deliveroo, Food Panda and Keeta);
        5. transactions which are subsequently cancelled, refunded or withdrawn;
        6. transactions conducted at/with/for/through travel agencies, property agencies, elderly homes, medical or dental clinics/service providers and beauty services providers (save and except the following specific transactions which are eligible: purchases of beauty products, hair products, one-time hair treatment services (which are not prepaid), one-time beauty treatment services (which are not prepaid) and transactions for pet grooming services);
        7. transactions settled by split payment (receipts for the same goods/services split into more than one sale receipt and/or electronic payment slip) (for the avoidance of doubt, for installment payment, the full amount listed on the merchant's machine-printed receipt will be counted and for once only);
        8. specified transactions announced by Nan Fung (e.g. transactions conducted at certain promotional events); or
        9. any similar transactions determined by Nan Fung at its absolute sole discretion (Nan Fung is not required to give any prior notice in this regard).

(Nan Fung may from time to time without prior notice vary the requirements above at its sole and absolute discretion)

    1. “Food Ordering Platform” means NF Touch’s designated app/website platform that provides/procures food and beverage ordering and delivery services and other similar services.
    2. “Hong Kong” means the Hong Kong Special Administrative Region.
    3. “Member” means a member who has satisfied the requirements to become a Member set out in Section B of these NF Touch Terms and Conditions and admitted by Nan Fung as a Member. “Membership” shall be construed accordingly.
    4. “Nan Fung” means Nan Fung Loyalty Program Limited.
    5. “Nan Fung Loyalty Program Limited” is a company incorporated in Hong Kong with its registered office at 17th Floor, AIRSIDE, 2 Concorde Road, Kai Tak, Hong Kong.
    6. “Net Spending Amount” means the actual spending amount by the Member after deduction by means of any physical/electronic gift vouchers, coupons, certificates, cash dollars, discounts, promotions, NF Token(s) and the like.
    7. “NF Impact Partner” means any merchants other than Participating Merchants, which may from time to time be recognized by Nan Fung as being able to conduct an Eligible Transaction. A list of NF Impact Partners is set out in the NF Touch App, the list may be varied and updated by Nan Fung from time to time without any prior notice.
    8. “NF Mall” means any malls as may be designated by Nan Fung in the NF Touch App / WeChat Mini Program, the list of NF Malls may be updated from time to time.  Nan Fung reserves the right to change the list of NF Malls at any time without prior notice.
    9. “NF Point(s)” means the credit point(s) granted to Members by Nan Fung under NF Touch.
    10. “NF Seed(s)” means the credit point(s) awarded to a Member by Nan Fung under NF Touch for participating in or completing Activities.
    11. “NF Token(s)” means the tokens converted from NF Point(s) based on the specified rate in the NF Touch App / WeChat Mini Program, in accordance with the applicable terms and conditions. 
    12. “NF Token Designated Merchants” means any merchant from time to time designated by Nan Fung where Members may use NF Token(s), subject to the applicable terms and conditions specified by Nan Fung. A list of such merchants can be found on the NF Touch App / WeChat Mini Program.  Nan Fung may vary and/or update the list of merchants and/or the relevant terms and conditions from time to time without any prior notice.
    13. “NF Touch App” means the “NF Touch Membership Programme” mobile application.
    14. “Participating Merchant” means merchants at NF Malls which may from time to time be recognized by Nan Fung as being able to conduct an Eligible Transaction but not including the merchants specifically set out in the “NF Point(s)” section below and any other merchants Nan Fung may from time to time specify. A list of Participating Merchants is set out in the NF Touch App / WeChat Mini Program, the list may be varied and updated by Nan Fung from time to time without any prior notice.
    15. “Permitted Tracking Device” means the following applications and devices connected to the NF Touch App:-
      1. Apple Health app;
      2. Google Fit app; and
      3. any other Permitted Tracking Device as notified by Nan Fung from time to time.
    16. “Specified Merchant” means certain specified Participating Merchants which require a higher amount of spending for each NF Point.  A list of such merchants can be found in Section D of these NF Touch Terms and Conditions and in the NF Touch App / WeChat Mini Program and may be varied and updated by Nan Fung from time to time without any prior notice.
    17. "WeChat Mini Program" means the WeChat Mini Program named "NF Touch Membership Programme".
    18. Words importing any gender include all genders.
       
  1. NF Touch Membership Registration
    1. Applicants can register as Members through the NF Touch App / WeChat Mini Program by entering the required information and authenticating their registration via SMS.
    2. Applicants are required to read the Personal Information Collection Statement found at the bottom of the registration form carefully and explicitly indicate that they agree to be bound by the Personal Information Collection Statement before providing any of their personal data.
    3. Only individuals aged 18 or above are eligible to apply for Membership. 
    4. The applicant’s name must be the same as the one stated on the related electronic payment receipts.
    1. The applicant must register a correct and valid mobile number for SMS authentication and the applicant must be the true owner of that mobile number (Note: the SMS authentication code will only be sent to the registered mobile number, i.e. if the applicant has turned on SMS Divert service, the SMS authentication code will still only be sent to the registered mobile number, but not the other mobile number that the applicant has diverted to).
    2. Nan Fung shall take no responsibility for any failure of transmission of emails, SMS or other messages.
    3. Applicants must ensure that the information submitted for the registration is authentic, accurate, complete and not misleading or fraudulent in all aspects.  Nan Fung reserves the right to seek verification from the applicant.
    4. Nan Fung has the absolute discretion to determine an applicant’s eligibility for Membership.
    5. Each mobile number or email address can only be registered by one person. Duplicate registration or holding more than one Membership account by the same individual will not be accepted.
    6. If a Member changes their registered information, he/she shall inform Nan Fung of the change and provide the relevant supporting documents through the following channels as soon as practicable:
      1. visit the specific concierge counter at an NF Mall in person; or
      2. send an email to enquiry@nftouch.com.hk (content must include the Member’s name, email address, contact number, the information that requires an update and the relevant supporting documentation).
    7. If Members are considered by Nan Fung to have registered with an email address or mobile number that they do not own, Nan Fung has the right to suspend or terminate such Membership without any prior notice or compensation.
    8. Memberships, QR Codes and all Membership benefits and rewards (including but not limited to NF Point(s), NF Token(s) and NF Seed(s)) are limited for the Member’s personal, non-commercial use and are non-transferable.  All such transfers shall be null and void.
    9. The NF Touch App / WeChat Mini Program will issue a QR Code to a Member upon his/her successful application and registration.  Members must present the QR code generated in their NF Touch App / WeChat Mini Program to claim Membership benefits or when proof of their Membership is required by Nan Fung, a Participating Merchant, an NF Impact Partner or an NF Token Designated Merchant.  Nan Fung/the Participating Merchant/the NF Impact Partner/the NF Token Designated Merchant shall be entitled to assume without further proof that the holder of the QR Code is a Member but reserves their absolute right to request the holder to additionally provide any identification documentation for verification purposes.
    10. Members should keep their Membership information, username and password strictly confidential and secure. Members are fully responsible for any use of their Membership by any person (including whether used with or without the Member’s authorization).  Members must not misuse their QR Code or Membership in any way and doing so may result in the termination or suspension of their Membership and the Member may be required to return any redeemed benefits (or the monetary equivalent) without prejudice to any rights and remedies of Nan Fung, the Participating Merchants, the NF Impact Partners and the NF Token Designated Merchants. 
    11. Nan Fung reserves the right to suspend or terminate the Membership of any Members forthwith at any time at Nan Fung absolute discretion without any prior notice or compensation if Nan Fung considers that the account is being used by another person, or the Member was dishonest.
    12. Members can choose to delete his/her Membership account on NF Touch App “Edit Profile” page or on the WeChat Mini Program "Edit Profile" page.  Once the Member confirmed the deletion, the Membership account will be suspended and all NF Point(s), NF Token(s), NF Seed(s), benefits and rewards in the Member’s Membership account will be inactivated immediately. The Member will not be able to log in his/her Membership account thereafter. If a Member wants to reactivate his/her Membership account, he/she must contact us through the following channels and provide the relevant supporting documents for profile identification within 14 days from the date of the Member’s deletion of his/her Membership account, otherwise, all NF Point(s), NF Token(s), NF Seed(s), benefits and rewards in the Member’s Membership account will be forfeited without notice or compensation after 14 days from the deletion:
    13. visit the specific concierge counter at an NF Mall in person; or
    14. send an email to enquiry@nftouch.com.hk (content must include the Member’s name, registered mobile number and email address).
       
  1. Biometric Authentication
    1. The NF Touch “Biometric Authentication” function allows Members to use his/her fingerprint or face identification registered on his/her Designated Device, instead of account password, to login to the NF Touch App or to authenticate the Member’s identity.
    2. Use of the “Biometric Authentication” function is subject to these NF Touch Terms and Conditions.
    3. When using the “Biometric Authentication” function, the NF Touch App will use the fingerprint and/or facial map (as applicable) that is stored in the Member’s Designated Device to authenticate his/her identity.  In doing so, the NF Touch App will access the biometric identity sensor in his/her Designated Device and use the information on that sensor to perform the authentication. Nan Fung will not collect or store the Member’s biometric information.
    4. Members are solely responsible for ensuring the security of their Designated Device and that only their face/fingerprint identification are stored on their Designated Device.  If the Member’s Designated Device stores another person’s biometric information, the Member will be taken to have permitted the other person to use his/her biometric details to access the Member’s NF Touch account, the Member’s rewards and the Member’s NF Point(s) and NF Seed(s).
    5. Each time the Designated Device authenticates access into the NF Touch App using biometric information, the Member is deemed to have accessed the NF Touch Membership account and/or instructed us to perform such transactions as the case may be, including but not limited to redemption of rewards and using the Member’s NF Point(s)/NF Seed(s), and shall be responsible for all use of the NF Touch Membership.  Nan Fung shall not be liable for any loss a Member incurs in connection with the use or attempted use of the “Biometric Authentication” function, or any unauthorised transactions through or in connection with the “Biometric Authentication” function.
    6. The “Biometric Authentication” function and the biometric identity sensor are built into the Members’ Designated Device and provided and operated by third party service provider(s).  Nan Fung makes no representation or warranty as to the security of the “Biometric Authentication” function of any Designated Device and whether it works in the way that the third party service provider(s) represents and shall not be responsible for any issues arising from, including but not limited to the related technology and their performance.
    7. Nan Fung reserves the right to modify, suspend or terminate the use of the “Biometric Authentication” function in the NF Touch App.

 

  1. NF Point(s)
    1. Members can earn NF Point(s) at the following rates:-
      1. Members can earn 1 NF Point for every HK$1 spent in an Eligible Transaction with Participating Merchants (excluding Specified Merchants) or NF Impact Partners.  Any amount under HK$1 will not be counted.
      2. Members can earn 1 NF Point for every HK$2 spent in an Eligible Transaction with Specified Merchants*.  Any amount under HK$2 will not be counted.

* Specified Merchants currently include: AEON at TKO Plaza

    1. Participating Merchants further specifically does not include any of the following:-
      1. any car park operators, hotels, banks, financial institutions, insurance companies or securities brokers;
      2. any merchant that does not issue machine-printed receipts;
      3. any merchants that are not duly authorized to do business in NF Malls; or
      4. any of the following merchants at TKO Plaza:-
        1. ICBC
        2. CircleK
        3. Overseas Employment Centre Ltd
        4. Bank of China (Hong Kong)
        5. Hang Seng Bank
        6. K-Mart
        7. Hong Kong Property
        8. Ricacorp
        9. ProCare
        10. Mindfulness Chinese Medicine Clinic
        11. Midland Realty
        12. Centaline Property
        13. ProDerm TKO Dermatology Centre
        14. Virtus Medical Centre
        15. My Sweet Home Maid Agency
        16. Famcare Medical Practice
        17. Xpert Dental Centre
        18. Joyful and Health Chinese Medicine Centre (in relation to services provided only, e.g. Chinese medicine treatment) 
      5. any of the following merchants at The Mills:
        1. 7-Eleven
        2. KOKO COFFEE LABO
        3. Stand Out
        4. CHAT (Centre for Heritage, Arts and Textile)
    2. Nan Fung reserves the right to adjust the NF Point(s) earning rates for Participating Merchants, NF Impact Partners and Specified Merchants at any time without any prior notice and to restrict or limit the number of NF Point(s) a Member can earn on each Eligible Transaction.
    3. Each Member may register an Eligible Transaction via the following methods to earn NF Point(s):
       
  1. Self-Registration
    Uploading on the NF Touch App / WeChat Mini Program clear pictures/screenshots of (i) the Participating Merchant’s or NF Impact Partner’s receipt(s) and (ii) the corresponding electronic payment slip(s)/ the relevant transaction record in the Member’s logged-in mobile payment App; and completing and submitting the registration form. Members shall keep the original receipts and the relevant proofs in case they are required for verification or confirmation.  Members shall ensure that the NF Point(s) registration form is accurate and completed.  NF Point(s) registration forms with unclear, blurry, inaccurate or incomplete information will be rejected. 
     
  2. Registration at specific concierge counter at an NF Mall
    Presenting the QR code generated in the Member’s NF Touch App / WeChat Mini Program, Participating Merchant’s or NF Impact Partner’s receipt(s), and the corresponding electronic payment slip(s)/ the relevant transaction record(s) in the Member’s logged-in mobile payment app at the specific concierge counter at the NF Mall where the spending was made and complete the registration in accordance with the staff’s instructions (for transactions with NF Impact Partners, Members may visit the specific concierge counter at any NF Mall). Staff shall have the right to request Members to provide other proofs, including but not limited to the relevant credit card, octopus card, Apple Pay interface, GooglePay interface, Samsung Pay interface, UnionPay Mobile QuickPass interface, WeChat Pay interface, Alipay interface, etc, for verification and confirmation of related transaction.  Members can only present 5 receipts to the concierge counter for registration each time.
    1. Electronic payment slips for the following transactions are required: Visa, MasterCard, UnionPay, JCB, AE, Diners, EPS, Payme, Apple Pay, Google Pay, Samsung Pay, FPS, UnionPay Quick Pass, TNG, Tap&Go, AliPay, WeChatPay, Jetco Pay, or other electronic payment methods as Nan Fung may from time to time designate.
    2. A genuine screenshot of the payment (showing the payment method, location, merchant’s name, transaction date and amount) is required for transactions paid by the following mobile payment methods: Payme, Apple Pay, Google Pay, Samsung Pay, FPS, UnionPay Quick Pass, TNG, Tap&Go, AliPay, WeChatPay, Jetco Pay, or other similar types of transactions.
    3. All receipts and electronic payment slips must be machine-printed by the qualified merchant and paid for by the Member, and must clearly show the name of the merchant, shop address, payment method, partial credit card numbers (applicable to payments by credit cards only), invoice number, transaction number, transaction date, the amount of the transaction and any other information required by Nan Fung from time to time. If the receipts are too long, Members may fold the receipts and show only the required information for the purpose of self-registration for NF Point(s).
    4. Sales receipts which are photocopied, reprinted, reused, damaged, hand written, expired (registration not completed within 14 days) or of non-eligible transactions, merchant copies and transactions which are refunded, unposted, incomplete or cancelled and any similar sales receipts or transactions will not be eligible for NF Point(s). 
    5. Nan Fung shall have the right to request Members to present documents to verify their identity and the relevant transaction, including identification documents, the original payment receipt or transaction record and other relevant documents or information, and to record these by photographing, photocopying, or other methods.
    6. Members may not use sales receipts, electronic payment slips or other purchasing information or documents that were issued for transactions made by other individuals.
    7. Nan Fung shall have the right to reject any receipts, invoices or payment slips that Nan Fung suspects to be invalid, forged or not issued for genuine transactions.
    8. Nan Fung shall have the absolute discretion to determine whether or not to accept certain electronic payment slip(s)/ the relevant transaction record. For the avoidance of doubt, the decision of Nan Fung shall be final and binding on all parties involved.
    9. After registration for NF Point(s), if a Member would like to cancel the relevant transaction(s) (or any part thereof) and obtain a refund from the relevant merchant, the Member must visit the specific concierge counter at the NF Mall where the transaction was made in person first and arrange to return all NF Point(s), rewards, gifts and benefits earned from the registration of the relevant transaction(s) before getting the refund from the merchant (for transactions with NF Impact Partners, Members may visit the specific concierge counter at any NF Mall). If it is discovered that a Member has not returned all relevant NF Point(s), rewards, gifts and benefits before getting a refund from the merchant, Nan Fung has the right to deduct the corresponding NF Point(s) rewards, gifts and benefits from the Member’s Membership account. If it is not possible for the Member to return the redeemed NF Point(s), rewards, gifts or benefits, he/she may be required to pay the appropriate price for the NF Point(s), rewards, gifts or benefits (such price to be determined by Nan Fung in its sole discretion).
    10. Members must complete the NF Point(s) registration within 14 days from the date of the relevant Eligible Transaction as stated on the machine-printed receipts.  
    11. For Self-Registration, the amount of a single Eligible Transaction shall not exceed HK$30,000. To register an Eligible Transaction with spending over HK$30,000, Members must visit the specific concierge counter at the NF Mall where the spending was made in person (for transactions with NF Impact Partners, Members may visit the specific concierge counter at any NF Mall).
    12. Additionally, if Members would like to register a set of receipts for Eligible Transactions of a total spending amount of HK$100,000 or more on the same day, Members must visit the specific concierge counter at the NF Mall where the spending was made in person (for transactions with NF Impact Partners, Members may visit the specific concierge counter at any NF Mall).
    13. Nan Fung is entitled to make copies of the merchant’s receipts and other documents produced by the Member to Nan Fung for audit purpose.
    14. Unless otherwise specified, each receipt and corresponding payment slip can only be used for NF Point(s) registration once and cannot be used in conjunction with other offers and promotions. Nan Fung is entitled to mark on the original receipts, invoices or payment slips used for earning NF Point(s) by the Member. Unless otherwise specified, the receipts, invoices or payment slips marked by Nan Fung cannot be used by the Member again to participate in any other activities of Nan Fung and/or to redeem any other benefits.
    15. Nan Fung may from time to time organize promotional events or bonus NF Point(s) programmes for awarding extra NF Point(s).  Details of such promotional events shall be published by Nan Fung from time to time.
    16. Members can check their latest NF Point balance and transaction records on the NF Touch App / WeChat Mini Program. In case of disputes, the records of Nan Fung shall be final and conclusive.
    17. The NF Point(s) which a Member has earned will be subject to an expiry date (“Expiry Date”) depending on the date when the NF Point(s) were earned:-
  1. NF Point(s) earned from 1 April to 30 September this year will expire on 30 September of the next year, and must be used on or before then.
  2. NF Point(s) earned from 1 October this year to 31 March next year will expire on 31 March of the year after next, and must be used on or before then.

Illustrative Examples:

  1. NF Point(s) earned from 1 April 2022 to 30 September 2022 will expire on 30 September 2023
  2. NF Point(s) earned from 1 October 2022 to 31 March 2023 will expire on 31 March 2024

After the relevant Expiry Date, unused NF Point(s) will expire and be forfeited automatically.

  1.  
    1. Nan Fung is entitled to cancel or deduct the NF Point(s) of any Member at any time for any reason whatsoever without notice and without compensation.
    2. Nan Fung shall have the right to reject any registration of NF Point(s). In case of disputes, the decision of Nan Fung shall be final and binding on the parties involved.

      E. NF Seed(s)
      1. Members may collect NF Seed(s) at the rates and in the manner specified in the NF Touch App by participating in or completing the Activities.    
      2. Nan Fung reserves the right to adjust the NF Seed(s) collecting rates and/or to restrict or limit the number of NF Seed(s) a Member can collect by each Activity at any time without any prior notice.
      3. All Activities must be tracked using a Permitted Tracking Device and different Permitted Tracking Devices may be required to track different Activities. Members must link a Permitted Tracking Device to, and synchronize activity data with, their NF Touch App in order to record their physical activity to fulfil an Activity, and only those Activities that are tracked on the Permitted Tracking Device(s) will be eligible to collect NF Seed(s).
      4. If a Member has linked more than one Permitted Tracking Device to his/her NF Touch App at any given time, the data used to assess progress towards an Activity will be data from the Permitted Tracking Device that measured the highest for that Activity.
      5. Nan Fung may from time to time organize promotional events for awarding extra NF Seed(s) by scanning specified QR code(s).  Details of such promotional events shall be published by Nan Fung from time to time.
      6. The NF Seed(s) which a Member has collected will be subject to an expiry date and must be used on or before then. Unused NF Seed(s) will expire and be forfeited automatically.
      7. Members can check their latest NF Seed balance on the NF Touch App / WeChat Mini Program. In case of disputes, the records of Nan Fung shall be final and conclusive. 
      8. The expiry date of NF Seed(s) will depend on the period when the NF Seed(s) were collected (“NF Seed Collecting Period”):-
        1. The first NF Seed Collecting Period commences from the launch of NF Touch to 30 November 2023, NF Seed(s) collected within this period will expire on 31 December 2023.
        2. The subsequent NF Seed Collecting Periods are each a two-year period commencing from 1 December each time.  An NF Seed(s) will expire on 31 December of the year in which its NF Seed Collecting Period ends.

    1. Members must not:-
      1. link another person’s Permitted Tracking Device or otherwise synchronize another person’s activity data to their NF Touch App or otherwise provide false or misleading information in connection with their participation in the programme (including in relation to the completion of Activities); and/or
      2. commit misconduct or fraud or otherwise engage in illegal, dishonest, misleading, deceptive or fraudulent activities in relation to their participation in the programme (including in relation to the completion of Activities).
    2. Nan Fung is entitled to cancel or deduct the NF Seed(s) of any Member at any time for any reason whatsoever without notice and without compensation.
    3. Nan Fung is not responsible for the Permitted Tracking Devices (including the linking of the Permitted Tracking Devices to, or the synchronizing of activity data with, the NF Touch App) and/or any other goods, services, content or other resources that are provided in connection with the Permitted Tracking Devices and/or other services/products provided by the third party service providers, including the accuracy, reliability, availability, accessibility, effectiveness or correct use of the Permitted Tracking Devices and/or related services/products by the Members. All costs and expenses relating to the Permitted Tracking Devices and/or services/products provided by the third party service providers shall be solely responsible by the Member.
    4. Members are responsible for reading and agreeing to any terms and conditions that apply to the use of the Permitted Tracking Devices and/or other services/products provided by the third party service providers.
    5. Nan Fung and its Affiliates shall have no liability and shall not be held liable for any failure, delays, errors, omissions and/or any loss and/or damage in connection with the Permitted Tracking Device, including any network or connectivity problems or loss of data in relation to the Activities.
    6. Members should consult their doctor or health or medical professional before participating in any activity or event under the NF Touch (including any Activities) or making any changes to their diet or habit, especially if they are pregnant, over 65 years old, or have a pre-existing medical condition or health problem.
    7. Nan Fung and its Affiliates shall not be responsible or liable for any health or medical-related problems, injuries, death or damage/loss of property caused by the participation in NF Touch (including any Activities) or from any content, products, information or events under NF Touch. If a Member engages in any Activities or any other events under NF Touch, he/she agrees that he/she does so at his/her own risk and are voluntarily participating in these activities.
    8. Any health, medical, fitness or wellness-related articles and any other content on the NF Touch App / WeChat Mini Program are provided by third party content providers and any opinion, advice, statements, services, offers or other information expressed or made available are made by the respective third party content providers and not by Nan Fung or its Affiliates. Neither Nan Fung nor its Affiliates or third party content providers guarantee or make any representation or warranty of the accuracy, reliability, completeness or usefulness of any content, nor for its merchantability or fitness for any particular purpose.
       
  1. Rewards Redemption and Members’ Privileges
    1. Various rewards may be available for redemption at the rewards catalogue on the NF Touch App / WeChat Mini Program (e.g. rewards redeemable by NF Point(s), limited time offers, year-round privileges, birthday offers, use of NF Token(s) etc.).  The rewards available are to be determined by Nan Fung at its absolute discretion.
    2. Members can redeem rewards available with their NF Point(s) or NF Seed(s) via NF Touch App / WeChat Mini Program.  Members must read and accept the description, and terms and conditions of respective rewards.  Upon confirmation, the corresponding NF Point(s) or NF Seed(s) will be deducted from the Member’s accounts.  No cancellation, refund or exchange for cash, NF Point(s), NF Seed(s) or other rewards is allowed for any reason.  The reward(s) available and conversion rate(s) are subject to change by Nan Fung at its absolute discretion at any time without giving reason and without prior notice. For details, please refer to the latest announcements at NF Touch App / WeChat Mini Program.
    3. Redemption of the rewards will be on a first-come-first-served basis while stocks last.  Nan Fung does not guarantee any rewards will constantly be available during the promotion period and reserves the right to provide similar rewards as an alternative without prior notice.
    4. Members may be required to collect the rewards at the designated location within the designated period in person.  Otherwise, the rewards will be forfeited automatically without notice or compensation (including any refund of NF Point(s) or NF Seed(s)).
    5. Members may be required to log into their NF Touch App / WeChat Mini Program and present the QR code generated in their NF Touch App / WeChat Mini Program to redeem rewards at specific concierge counter or to collect or use (if applicable) the rewards.
    6. Members may be entitled to certain year-round privileges.  For details, please see the NF Touch App / WeChat Mini Program. Members are required to log into their NF Touch App / WeChat Mini Program and present the QR code generated in their NF Touch App / WeChat Mini Program to staff at the relevant Participating Merchants/NF Impact Partners/NF Token Designated Merchants to enjoy the privileges.
    7. All photos and descriptions are for reference only.  Nan Fung and its Affiliates gives no guarantee or warranty in relation to the rewards and shall have no liability in respect thereof (including but not limited to the quality and the use of the rewards).  Members are responsible for checking the rewards at the time of collection, no replacement will be made afterwards.
    8. Nan Fung and its Affiliates do not in any way warrant the quality and condition of or any other matters in connection with the rewards and/or benefits and shall not be held liable for the same. Nan Fung and its Affiliates shall not be held legally liable for any direct or indirect claims, demands, costs, charges, expenses, losses, damages and compensations arising out of or relating to the rewards and/or benefits. All queries and disputes relating to rewards and/or benefits shall be made with or resolved by the Participating Merchants/NF Impact Partners/NF Token Designated Merchants or the relevant and original supplier, provider or manufacturer. Nan Fung and its Affiliates does not give any warranty for the quality or fitness of any of the rewards and/or benefits and accepts no responsibility in respect of the following: (i) refusal by Nan Fung and any Participating Merchants/NF Impact Partners/NF Token Designated Merchants to offer the rewards and/or benefits or accept an Membership QR Code; (ii) unavailability of any of the rewards and/or benefits; or (iii) refusal of replacement or change of any of the rewards and/or benefits for any compensation or reward by Nan Fung or any Participating Merchants/ NF Impact Partners/NF Token Designated Merchants.
    9. Nan Fung and its Affiliates shall have no liability in any event for any loss or damage related to any product, food and/or service provided by third party merchants/supplier. Members hereby expressly acknowledge that any such product, food and/or service redeemed is a transaction between the Member and the relevant merchant/supplier and that there is no contractual relationship between Nan Fung/its Affiliates and the Member in respect of the products, food and/or services.  Any enquiries, suggestions, complaints or disputes relating to the products, food and/or services provided by the merchants/suppliers should be directed to the relevant merchant/supplier.
    10. Nan Fung and its Affiliates shall have no liability in any event for any suspension or termination of operation of the merchants/suppliers.  No refund of NF Point(s) or NF Seed(s), cash or compensation will be offered.
    11. Coupons and individual rewards are subject to further terms and conditions.  Please refer to the relevant coupons/rewards.
      Specific Terms and Conditions applicable to the NF Token(s)
    12. Members may redeem and use NF Token(s) with their NF Point(s) in the NF Touch App / WeChat Mini Program at a rate designated by Nan Fung in the NF Touch App / WeChat Mini Program from time to time. Members are required to log into their NF Touch App / WeChat Mini Program and present the QR code generated in their NF Touch App / WeChat Mini Program to redeem or to use NF Token(s).  Upon confirmation, no cancellation, refund, reversal or change is allowed.
    13. NF Token(s) can be used as cash in a transaction at an NF Token Designated Merchant at the rate designated by Nan Fung from time to time in the NF Touch App / WeChat Mini Program provided that not less than 10 NF Tokens are used for each transaction and the transaction amount must be equal to or higher than the amount paid in NF Token.
    14. Members can check their latest NF Token balance and transaction records on the NF Touch App / WeChat Mini Program. In case of disputes, the records of Nan Fung shall be final and conclusive. 
    15. Nan Fung is entitled to adjust the abovementioned conversion rates,  restrict or limit the amount of NF Token(s) a Member can spend on each transaction and/or to impose further conditions on the use of NF Token(s) by a Member at any time without any prior notice.
    16. NF Token(s) cannot be refunded or converted into cash.  Spending by NF Token(s) will not be counted as spending amounts for other offers and promotions (including but not limited to registration of NF Point(s)).
    17. Transactions settled by NF Token(s) (whether in full or in part) cannot be refunded.
    18. Nan Fung reserves the right to reject any request for redemption of NF Token(s) for whatever reasons.

Specific Terms and Conditions applicable to NF Seed(s)

    1. Members may select to burn their NF Seed(s) collected on the NF Touch App to suggest Nan Fung to make or procure a specified donation to a specified charitable institution.  For the avoidance of doubt, this act is only a suggestion and Nan Fung is under no obligation to follow the suggestion.  Whether or not and when Nan Fung makes or procures the specified donation is at the absolute discretion of Nan Fung.  Nan Fung may choose to not follow the suggestion at its absolute discretion without giving reasons.
    2. Once confirmed, the corresponding NF Seed(s) will be deducted from the Member’s account and are non-refundable, non-reversible and non-exchangeable for NF Point(s), other rewards or cash under any circumstances.
    3. NF Seed(s) have no cash value and the burning of NF Seed(s) or the donation(s) made by Nan Fung or its Affiliates are not tax-deductible by the Member.  No receipts will be issued to the Member for the burning of NF Seed(s) or the donation(s) made by Nan Fung or its Affiliates.
    4. All photos and descriptions are for reference only. The final charitable services provided by the charitable institution is subject to change.  Nan Fung gives no guarantee or warranty in relation to the use of donations by the charitable institutions and shall have no liability in respect thereof.
    5. In case of any dispute, Nan Fung reserves the right of final decision on all related matters.
       
  1. Food Ordering Platform
    1. The Food Ordering Platform is targeted solely at and shall only be used by Members residing in Hong Kong (“Food Ordering Platform User”) via the NF Touch App. 

Online Ordering

    1. The Food Ordering Platform provides an online ordering service, subject to these terms and conditions and other details on the Food Ordering Platform.
    2. A Food Ordering Platform User shall be liable for every order made under his/her account and agrees to indemnify Nan Fung, Nan Fung’s Affiliates and participating merchants/restaurants (“Platform Restaurants”) for all claims arising from the actions of any person using the Member’s account (including any unauthorised use by a third party).
    3. Nan Fung, Nan Fung’s Affiliates and the Platform Restaurants reserve the right to decline any order made by a Food Ordering Platform User for any reason.
    4. Certain specified products, including but not limited to, alcohol (“Restricted Products”) will only be sold and delivered to persons aged 18 or over. By placing an order for Restricted Product(s), the Food Ordering Platform User confirms that he/she is 18 years old or above and agrees to show or procure the person receiving the delivery to show his/her HKID or passport to the relevant Platform Restaurant or delivery person when collecting the order for ascertaining his / her age.
    5. A Food Ordering Platform User is required to provide information that is complete, accurate and true for the proper processing of the order.
    6. Nan Fung may run marketing and promotional campaigns which offer e-coupons, discounts, or other promotional offers to be used on the Food Ordering Platform. These offers are subject to further terms and conditions, including validity periods, redemption periods, and in certain cases, may only be used once. To enjoy the discount or offer, the Food Ordering Platform User needs to use/apply the e-coupon before confirming the order.
    7. A Food Ordering Platform User shall be responsible for reviewing and confirming that all the information, including but not limited to details of his/her orders, the amounts, pick-up/delivery details, personal details, payment information, and the e-coupon to be used (if applicable) is true, accurate and complete before he/she submit the order. A Food Ordering Platform User’s confirmation of his/her order shall mean he/she accepts all items, amounts, additional charges and the final total amount which are displayed upon order placement. Except as specified in the section “Cancellation and Refund” of these terms and conditions, no retrospective arrangement can be made.
    8. Once a Food Ordering Platform User's order has been submitted, the Food Ordering Platform User will be liable to pay for the items (including any additional charges and delivery charges (if applicable)) and no amendment, cancellation, refund, exchange or transfer will be allowed except under situations specified in the section “Cancellation and Refund” of these terms and conditions. If a Food Ordering Platform User has any enquiries, suggestions, complaints or disputes relating to the products, food and/or services provided by the Platform Restaurant, he/she may contact the Customer Support of NF Touch Food Ordering Services Team via Whatsapp at +85238501410 or the relevant Platform Restaurant.
    9. A unique identification number specifically assigned to a Food Ordering Platform User’s order (“Order ID”) will be provided for each order. A Food Ordering Platform User can review his/her order details on the Food Ordering Platform. Please keep the Order ID safe and do not share it with others. If a Food Ordering Platform User fails to present the correct corresponding Order ID upon request, the ordered items may not be provided to the Food Ordering Platform User. No request for replacement, exchange or refund will be considered without the correct corresponding Order ID.
    10. Every completed transaction with a minimum Net Spending Amount (as defined in Section A of these NF Touch Terms and Conditions) of HK$100 will be rewarded 1 NF Point for every HK$1 spent (including delivery charges paid). The NF Points will be credited to the Food Ordering Platform User’s Membership account automatically after the transaction is confirmed. Except for the earning of NF Points in accordance with the applicable terms and conditions, all purchases and transactions on the Food Ordering Platform are not eligible for any other promotion, rewards or redemption activities of Nan Fung.
    11. The minimum order amount for each order to enjoy delivery service is HK$100. If a Food Ordering Platform User’s order is under the said minimum order amount, an extra small order fee will be charged to his/her order to meet the minimum order amount.  Delivery service may be subject to charges. Please review and confirm the amount before submitting the order. For the avoidance of doubt, there is no minimum order amount for self-pick up, subject to acceptance by the relevant Platform Restaurant.
    12. All orders and transactions are also subject to the terms and conditions of the relevant Platform Restaurant and third party service providers (if applicable).

Product Information

    1. Nan Fung, Nan Fung’s Affiliates and the relevant Platform Restaurant reserve the right to vary the price and other product details for any reason without notice.
    2. All images and descriptions are for reference only.
    3. Nan Fung does not guarantee that any item sold or supplied is Halal, vegan, vegetarian or free from certain ingredients derived from animals, nuts or other allergens. There is always a risk that such ingredients, or traces of them, may be transferred to items during processing, storage or preparation. Please directly contact the Platform Restaurant before placing an order on the Food Ordering Platform regarding any allergic reactions or dietary restrictions and other requirements.
    4. The relevant Platform Restaurant reserves the right not to follow special instructions but to adopt their standard operating procedures for any reason. Neither Nan Fung nor its Affiliates shall be responsible to replace, or be liable for, an order that does not conform to special instructions provided. No request for refund will be entertained.

Pick-up

    1. If a Food Ordering Platform User chooses the pick-up option, he/she will receive a notification with the pick-up number. The Food Ordering Platform User must arrive at the pick-up location and present the corresponding pick-up number to collect the items. The Platform Restaurant shall have the right to rearrange or reschedule the pick-up due to inclement weather, the actual operation condition of the store or other reasons.
    2. The Platform Restaurant or the relevant personnel at the pick-up location may ask for valid proof of age (such as HKID or passport) before allowing the Food Ordering Platform User to collect any Restricted Product and may refuse to provide the Restricted Product if the Food Ordering Platform User is unable to prove that he/she has attained the age of 18 to the satisfaction of the Platform Restaurant or the relevant personnel at the pick-up location. Any such refusal shall not discharge the Food Ordering Platform User’s obligation to pay for the Restricted Product and no request for refund or replacement will be entertained.

Deliveries

    1. Delivery services are provided by third party delivery service provider(s) “Pandago” and NF Touch (collectively, "Delivery Service Provider(s)"). Delivery service provided by NF Touch is exclusive to Food Ordering Platform Users who place food and/or beverage orders at AIRSIDE restaurants via the Food Ordering Platform for delivery to premises occupied by AIRSIDE tenants). A Food Ordering Platform User who intends to use the delivery service is required to carefully read and agree to the relevant Delivery Service Provider(s)’ terms and conditions (for Pandago: found at https://pandago.hk/termsandconditions).  Use of the delivery service is deemed to be agreement to the Delivery Service Provider(s)’ applicable terms and conditions.
    2. Nan Fung and its Affiliates shall not be liable to any person if Nan Fung, the Delivery Service Provider(s) and/or the Platform Restaurant declines to fulfill an order for whatever reason, or if the Delivery Service Provider(s) and/or the Platform Restaurant is unable to supply some or all items of an order.
    3. Deliveries will only be available for designated areas. Additional charges may be levied on deliveries to certain areas. Neither Nan Fung nor its Affiliates make any representation that deliveries to any locations will be available.
    4. Delivery will be suspended when a black rainstorm signal or tropical cyclone warning signal No.8 or higher is in force or will be hoisted soon, during road blocks or other extreme or special conditions.
    5. A Food Ordering Platform User using the delivery service is required to ensure that there is someone present at the stated address to pick up the delivery. The delivery person may ask for the HKID or passport of the person receiving delivery for ascertaining his/her age before he/she delivers any Restricted Product to that person. If no one is present at the time of delivery at the address (as determined by the relevant delivery person or the Delivery Service Provider(s)) or (for delivery involving a Restricted Product) the relevant delivery person suspects that the person receiving the delivery is below 18 years of age and the person fails to provide valid proof of age (such as HKID or passport) to show that he/she is at least 18 years old to the satisfaction of the relevant delivery person, the order will not be delivered, the order is deemed cancelled by the Food Ordering Platform User without any refund or compensation and the Platform Restaurant and the Delivery Service Provider(s) shall not be required to make the delivery at another time. Neither Nan Fung nor its Affiliates shall have liability for any damage or loss, including any deterioration in quality or change in conditions of the items arising out of or in connection with such Food Ordering Platform Users’ delay or failure to be present to receive the delivery or for an order involving a Restricted Product) failure of the person receiving delivery to provide valid proof of age showing that he/she is at least 18 years old for delivery to the satisfaction of the relevant delivery person. Any such delay/failure shall not discharge the Food Ordering Platform User’s obligation to pay for the items and any additional charges and delivery charges and no request for refund or replacement will be entertained.
    6. All delivery orders shall be deemed completed once the order has been delivered to the address (whether or not there is anyone at the address picking up the order).

Payment

    1. Payment for products ordered through the Food Ordering Platform must be made by the following prescribed electronic payment methods: Visa, Mastercard, UnionPay and other electronic payment methods specified by Nan Fung from time to time. Nan Fung may change the prescribed electronic payment methods accepted for payment on the Food Ordering Platform at any time without notice.
    2. All payment will be processed by third party payment service provider(s). Food Ordering Platform Users shall understand that their respective credit card/payment information may be stored with third party payment service provider(s) upon confirmation of order information and payment.
    3. An order cannot be amended or cancelled after completion of payment except under situations specified in the section “Cancellation and Refund” of these terms and conditions. For all payment enquiries, Food Ordering Platform Users should contact their credit card issuing bank or electronic payment service provider.
    4. Food Ordering Platform Users must ensure that there are sufficient funds to fulfil payment of an order. Nan Fung and its Affiliates will not bear any responsibility in any case of failure of order placement caused by insufficient funds.

Cancellation and Refund

    1. Food Ordering Platform Users cannot amend their order once the order has been successfully placed and the payment is successful.
    2. If a Food Ordering Platform User does not want the order or any ordered item after an order has been placed, they may contact the relevant Platform Restaurant to request to cancel the whole order or any ordered item without refund (whether in whole or in part).
    3. Food Ordering Platform Users may apply to Nan Fung for a refund in certain situations (such as the purchased item not being available for sale, late orders, cold food, wrong items, missing items, spilled or damaged items). The Food Ordering Platform User may be requested by Nan Fung to provide evidence, such as photograph(s) showing the problem, to Nan Fung’s satisfaction. The decision on whether or not to refund and the amount of refund will be at Nan Fung’s sole and absolute discretion. The maximum amount of refund shall be the amount paid for the relevant product, the delivery charge and any small order fee charged for orders under the minimum order amount. After Nan Fung’s acceptance of the application for refund, the sum determined by Nan Fung will be refunded to the credit card/e-payment method used to purchase that product. Nan Fung will not provide any cash refund.
    4. In the event that an order is not accepted or cancelled by the Platform Restaurant (e.g. if ordered item(s) are out of stock), the relevant Platform Restaurant shall be solely responsible for dealing with any potential refund. Nan Fung and/or its Affiliates shall not be held liable for any direct or indirect claims, demands, costs, charges, expenses, losses, damages and compensations arising out of or relating to the non-acceptance or cancellation of order by a Platform Restaurant.
    5. The duration required to process refunds depends on the practice of issuing banks of the credit cards or the electronic payment service provider. For the avoidance of doubt, Nan Fung shall not be liable for any issues, including but not limited to any loss, charges or issues arising out of or in connection with the rejection of the order or any request for refund.
    6. Amounts paid by coupons and the coupons used will not be refunded or returned.
    7. Nan Fung reserves the decision to forfeit the NF Point(s), NF Seed(s) and/or coupon earned upon order cancellation or refund.

Personal data provided when using the Food Ordering Platform

    1. Nan Fung and its Affiliates may collect personal information such as the Food Ordering Platform User’s title, first name and last name, mobile phone number, contact information and address(es) when the Food Ordering Platform User uses the Food Ordering Platform and may transfer such personal information to the relevant Platform Restaurant and third-party service providers such as the Delivery Service Provider(s) for the purpose of providing the service requested under the Food Ordering Platform. Each Food Ordering Platform User is required to read Nan Fung’s Privacy Policy (at https://www.nftouch.com.hk/en/terms-conditions#privacy_policy ) and Personal Information Collection Statement (at https://www.nftouch.com.hk/en/terms-conditions#personal_information) carefully before providing any of their personal data.  Use of the Food Ordering Platform shall be deemed to be acceptance of Nan Fung’s Privacy Policy and Personal Information Collection Statement.

Exclusion of liability

    1. Nan Fung and its Affiliates shall have no liability for any loss or damage related to any product, food and/or service provided by Platform Restaurants or the Delivery Service Provider(s). Food Ordering Platform Users hereby expressly acknowledge that any product, food and/or service ordered/purchased on the Food Ordering Platform is a transaction between the Food Ordering Platform User and the relevant Platform Restaurant and that there is no contractual relationship between Nan Fung/its Affiliates and the Food Ordering Platform Users in respect of the products, food and/or services.  Any enquiries, suggestions, complaints or disputes relating to the products, food and/or services provided by the Platform Restaurant or the Delivery Service Provider(s) should be directed to the Platform Restaurant or the Delivery Service Provider(s).
    2. Nan Fung and its Affiliates disclaim any liability for the accuracy, content or completeness of the information on the Food Ordering Platform, or for the reliability, operability, security or availability of the Food Ordering Platform. Specifically, Nan Fung and its Affiliates disclaim any warranty of any kind, whether express or implied, that the Food Ordering Platform or the server that makes it available are free of viruses or other harmful components.
    3. Nan Fung and its Affiliates disclaim any warranty of any kind, whether express or implied, as to the Platform Restaurant’s products, including without limitation the availability, merchantability or fitness for any particular purpose of any product or ingredient.  Nan Fung and its Affiliates shall not be responsible for any obligations and liabilities in relation to the products or services provided by the Platform Restaurants.
    4. For the avoidance of doubt, Nan Fung and its Affiliates provide no warranty regarding food safety related to any food or beverage purchased via the Food Ordering Platform.  Nan Fung and its Affiliates are not responsible for any damage or loss, medically or otherwise, resulting from anyone eating or drinking of any food or beverage from a Platform Restaurant.
    5. In no event shall Nan Fung or its Affiliates be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature or causes beyond their reasonable control including, without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labour disputes, shortages of labour or materials, fires, floods, storms, explosions, acts of God or delays or non-performance by third parties.
    6. Nan Fung and its Affiliates shall not be liable for any direct, indirect, special, incidental, or consequential damages (including damages for loss of revenue, profits or data) arising in contract, tort or otherwise (including negligence) out of any use of, or inability to use, the Food Ordering Platform (including the electronic payment system).
    7. Nan Fung and its Affiliates will not be liable for any loss or damage (including indirect and consequential loss) suffered by a Food Ordering Platform User by reason of (i) any failure, delay, interruption, suspension or any other restriction affecting their electronic payment; (ii) any errors, malfunctions or breakdown of their bank’s payment mechanism; or (iii) any other matter arising out of, or in connection with, an electronic payment system.
    8. Without prejudice to the above, the maximum aggregate liability of Nan Fung, Nan Fung’s Affiliates, the relevant Platform Restaurant, the Delivery Service Provider(s) and the delivery person to a Member in respect of any one order (other than a claim for refund) shall be limited to the goods’ actual cash value or HK$200 per order, whichever is lower.

Miscellaneous provisions regarding the Food Ordering Platform

    1. Nan Fung and its Affiliates have the right to terminate or suspend any access to the Food Ordering Platform or any products or services provided thereunder, for any reason without warning, notice or compensation.
    2. Nan Fung and its Affiliates reserve the right to change the information, services and resources available on the Food Ordering Platform, and these terms and conditions, at any time.
       
  1. Termination
    1. Nan Fung has the right to forthwith terminate or suspend the Membership of any Member at any time at Nan Fung’s absolute discretion if Nan Fung considers the Member having breached any of the applicable terms and conditions, or for other reasons.  Nan Fung shall not be required to provide any prior notice, reasons or compensation or be liable for any loss or damage resulting therefrom by any party in any event.
    2. Upon termination or expiry of Membership, all the unredeemed benefits (including any unused NF Point(s) or NF Seed(s) (if any)) in the Member’s account will be forfeited without any further notice or compensation.
    3. Termination of Membership for whatsoever reason(s) shall be without prejudice to the accrued rights and remedies of Nan Fung and the Participating Merchants/NF Impact Partners/NF Token Designated Merchants.
    4. Upon the death or incapacity of a Member, his/her Membership account shall be closed and all unredeemed benefits (including any unused NF Point(s) or NF Seed(s) (if any)) will be forfeited without any compensation.
       
  2. General Conditions and Disclaimers
    1. Nan Fung shall have the right, without any prior notice or compensation, to suspend or terminate any Membership, or any features in the NF Touch App and/or the WeChat Mini Program or disqualify any Membership rights at any time at its absolute discretion.
    2. NF Touch may be subject to additional terms and conditions imposed by Nan Fung from time to time. Should there be any discrepancies between these NF Touch Terms and Conditions and additional terms and conditions, the additional terms and conditions shall prevail.
    3. Members should verify their personal information and redemption record after any updates. All of a Member’s data and redemption records kept by Nan Fung are deemed to be final and conclusive for the purposes of NF Touch.
    4. NF Touch may be subject to delays, errors or omissions resulting from various issues such as problems with network problems, system malfunctioning, mobile phone delays or errors, etc., Nan Fung and its Affiliates shall have no liability and shall not be held liable for any such delays, errors, omissions and/or any loss and/or damage in connection therewith.  There may also be temporary interruptions due to scheduled or regular system maintenance work, downtimes attributable to internet or electronic communications or events of force majeure. 
    5. To the extent permitted by law, Nan Fung and its Affiliates shall have no liability and shall not be held responsible or liable in the event of any losses or damages related to any aspects of NF Touch. 
    6. If a Member contravenes any applicable terms and conditions, he/she shall fully indemnify Nan Fung, its Affiliates, the Participating Merchants, NF Impact Partners and NF Token Designated Merchants for any and all loss which they suffer (including but not limited to legal fees, administrative costs etc.).
    7. Without prejudice to any rights of Nan Fung or its Affiliates, including Nan Fung’s right to final decision in relation to NF Touch, Nan Fung shall have the right not to be involved in any dispute amongst a Member, a Participating Merchant, an NF Impact Partner and/or an NF Token Designated Merchant.  Such parties are required to resolve the disputes themselves.
    8. All information and contents in relation to NF Touch are provided for general references only. Nan Fung is not liable for any inaccuracies, omissions, errors or otherwise, in the said material, or for any economic or other loss which may be directly or indirectly sustained by any person.
    9. At any time without prior notice and without compensation, Nan Fung reserves the right to modify the structure and content of NF Touch (including the NF Touch App and the WeChat Mini Program). It is the responsibility of Members to keep themselves up to date in respect to the structure and content of NF Touch, including these NF Touch Terms and Conditions. Whenever a Member uses any aspect of NF Touch, he/she will be deemed to accept all relevant changes to the structure and content of NF Touch. Nan Fung will not be liable for any losses or damages resulting from changes to the structure or content, including these NF Touch Terms and Conditions.
    10. Nan Fung shall have the right to transfer, assign, charge, sub-contract or otherwise dispose of any of the rights or obligations under these NF Touch Terms and Conditions and/or the NF Touch App and/or the WeChat Mini Program and/or NF Touch on such terms and conditions as Nan Fung may at its sole discretion think fit at any time without any prior notice to any Member.
    11. A Member is hereby deemed to have read, understood and agreed to these NF Touch Terms and Conditions and that he/she does not rely on any statement, representation, assurance or warranty made by Nan Fung or its Affiliates and shall waive all of his/her rights, if any, against Nan Fung and its Affiliates in relation thereof.
    12. The failure or delay of Nan Fung or any of its Affiliate to enforce its rights under these NF Touch Terms and Conditions at any time for any period shall not be used as a waiver of such rights.
    13. In case of dispute, Nan Fung reserves the right of final decision on all related matters.
    14. No person other than the relevant Member and companies of the Nan Fung Group will have any right under the Contracts (Rights of Third Parties) Ordinance to enforce or to enjoy the benefit of any provision under these NF Touch Terms and Conditions.
    15. In case of discrepancies between the English version and any translation of these NF Touch Terms and Conditions, the English version prevails.
    16. These NF Touch Terms and Conditions shall be governed by the laws of Hong Kong and shall be subject to exclusive jurisdiction of the courts of Hong Kong.
